Mare Group has approved a common merger plan to incorporate EasyGo and E.M.M., both already wholly owned. The transaction does not provide for a share exchange ratio, cash adjustment, issue of new shares or any change in Mare Group’s share capital.
Merger structure
Mare Group directly owns 100% of EasyGo, which in turn owns all of EMM. Once the mergers become effective, the shares of the absorbed companies will be cancelled and Mare Group will assume all of their assets and liabilities.
Rationale
The company said the transaction is part of its integration and reorganization process, designed to simplify governance and capture existing operating, administrative and management synergies. No quantified savings or integration costs were disclosed.
Procedure
The final decision at Mare Group will be taken by the board under the simplified merger procedure, subject to shareholder rights under Italian law. EasyGo and EMM will approve the merger through their respective shareholder meetings.
