Mare Group has received confirmation that the Italian government will not exercise Golden Power in relation to its acquisition of 100% of CTMAVIO. With that condition cleared, the company expects closing by the end of September 2026, ahead of the original 15 November deadline.
Government clearance
The Presidency of the Council of Ministers informed Mare Group on 14 September that the transaction did not meet the threshold for exercising special powers on national-security grounds. The clearance was a condition to the agreement announced on 24 July.
€9 million consideration
The total consideration is €9 million: €4 million in cash at closing, €2 million placed in escrow and released according to the agreement over 24 months, and €3 million through a reserved capital increase for CTM S.r.l. The equity component may involve up to 535,714 new Mare Group shares valued at €5.60 each and subject to a 24-month lock-up.
CTMAVIO perimeter
CTMAVIO operates five plants in Italy and designs and manufactures precision components, tooling and structures in metals and composites for aerospace, engines and remotely piloted systems. Mare Group intends to add proprietary manufacturing capability to its Aerospace & Defence platform.
